Role Overview
A Corporate Lawyer advises clients on a wide range of corporate and commercial transactions, including mergers and acquisitions (M&A), private equity deals, joint ventures, and general corporate structuring. The role involves managing transactions end-to-end, ensuring compliance with Singapore law, and coordinating with cross-border counsel where necessary.
Key Responsibilities
- Advise clients on M&A transactions, including share and asset purchases, disposals, and restructuring
- Draft, review, and negotiate transactional documents (e.g., SPAs, shareholders’ agreements, subscription agreements)
- Conduct and oversee legal due diligence and identify transactional risks
- Structure deals in compliance with Singapore regulatory frameworks (e.g., Companies Act, SGX rules if applicable)
- Liaise with regulators, counterparties, and external counsel on multi-jurisdictional matters
- Support private equity and venture capital investments
- Provide general corporate advisory, including governance and compliance matters
- Manage transaction timelines and coordinate closings
Qualifications & Requirements
- Qualified lawyer in Singapore (called to the Singapore Bar) or common law jurisdiction (UK, AU, etc., depending on firm requirements)
- Typically 2–8+ years PQE (Post-Qualification Experience) in corporate/transactional practice
- Strong experience in M&A, capital markets, or corporate finance
- Familiarity with Singapore legal and regulatory environment
- Excellent drafting, negotiation, and communication skills
- Ability to work in a fast-paced, deal-driven environment
Preferred Skills
- Experience with cross-border transactions in ASEAN
- Exposure to private equity / venture capital deals
- Commercial mindset with strong client management skills
- Familiar or strong desire to learn Compliance and employment related items, i.e Visa
- Ability to handle multiple transactions simultaneously
